Prices and transportation

Seller’s published prices, terms of payment, including discounts, and transportation terms in effect at date of shipment of goods, shall apply. Prices are subject to change without notice. All pricing is in U.S. dollars.

Taxes

Liability for all taxes, licenses, or other fees imposed upon the production, sale, shipment, or use of the Seller’s products or services covered by buyer. If Buyer is a health care facility and a sales tax should be paid this catalog and resulting in quotations shall be assumed and paid for, it is Buyer’s responsibility to file a Use Tax Return in your state.

Shipment

Delivery will be made F.O.B. Seller’s shipping point or Vendor’s plant, all risk of loss shall pass to Buyer upon delivery to carrier, and Buyer shall be responsible for obtaining insurance if desired. Seller will ship by carrier selected by Seller unless specified by Buyer in its order.

Payment

Unless otherwise specified, invoices shall be due and payable with thirty (30) days of the invoice date.Payments shall be in U.S. dollars. A 2 % per month finance charge will be added to any invoice not paid within terms. A $40.00 bank charge will be added to any returned checks.

Credit card payments will be assessed a 5% surcharge and will be processed at the time of order. Payments of aged account balances with credit cards will be assessed a 5% surcharge + 1.5% per 30 days.

Cancellations and Returns

Order may not be cancelled without the prior written consent of the Seller. Products may not be returned without the prior written consent of the Seller. Transportation charges for returned products will be paid by the Buyer. Cancellation and restocking charges will be assessed to the Buyer where applicable.

Assignment

No rights or obligations arising under any contract between the Seller and Buyer may be assigned or transferred by Buyer without the prior written consent of the Seller.

Patent or Trademark Infringement

If the goods sold hereunder are to be prepared or manufactured, in whole or in part, according to Buyer’s specifications, Buyer shall indemnify and hold Seller harmless from and against any and all claims or liabilities with respect to or arising out of actual or alleged patent or trademark infringement on account of such preparation or manufacture and shall, at the option of Seller assume the defense thereof.

Limited Warranty Agreement

This Limited Warranty Agreement states the terms and conditions of the limited warranty provided by Tri-Tech Medical to Buyer for the Products. It is a part of the Agreement that consists of the Terms and Conditions of Sale, Purchase Order, and Quotation. It is effective for shipments made 4/1/2025 and after.

1. TTM Limited Warranty: Pipeline Products

1. Parts: Tri-Tech Medical warrants that, for a period of 60 months from the ship date, the pipeline products manufactured and/or designed by Tri-Tech Medical will be, under normal use, free from defects in material and workmanship, with the exception of any components which are recommended to be replaced in less than five years as per the product’s manuals. Within said period, Tri-Tech Medical will repair or replace any part or component which is proven to be defective.
2. Labor: In addition to the above, Tri-Tech Medical warrants that, for a period of 24 months from the ship date, the Pipeline Products manufactured and/or designed by Tri-Tech Medical will be, under normal use, free from defects in workmanship. During such warranty period, for products located in the USA or Canada, Tri-Tech Medical shall be responsible for labor costs as well.
3. TTM Limited Warranty: Vacuum Pump and Air Compressor Systems

Parts and Labor: The Medical Systems are guaranteed by Tri-Tech Medical for a period of 24 months from the date of start-up or 30 months from the date of shipment (whichever comes first) against defects in design, materials, or construction, with the exception of any components which are recommended to be replaced within that period as per the product’s manuals. Within said period, Tri-Tech Medical will repair or replace any part or component which is proven to be defective. In addition to that, during such warranty period, for products located in the USA or Canada, Tri-Tech Medical shall be also responsible for labor costs associated with this warranty.

Flowmeters: Tri-Tech Medical warrants that, for a period of 60 months from the ship date, the flowmeters manufactured, designed or sold by Tri-Tech Medical will be, under normal use, free from defects in material and workmanship. During such warranty period, Tri-Tech Medical will repair or replace any part or component which is proven to be defective.
5. Suction Regulators: Tri-Tech Medical warrants that, for a period of 120 months from the ship date, that the suction regulators manufactured, designed or sold by Tri-Tech Medical will be, under normal use, free from defects in material and workmanship. Tri-Tech Medical will repair or replace any part or component which is proven to be defective.
6. Third-Party Products Limited Warranty. Tri-Tech Medical agrees to assign to Buyer whatever rights Tri-Tech Medical may have under any warranty, express or implied, of any supplier, manufacturer of components used by Tri-Tech Medical but not manufactured or designed by Tri-Tech Medical.
7. Owner’s Manual and Troubleshooting. Buyer shall read the Owner Manual thoroughly before operating the Product. In the unlikely event that Buyer should encounter difficulty operating the Product, the Owner Manual should be consulted. If Buyer has consulted the Owner Manual and the problem persists, the Buyer shall contact Tri-Tech Medical’s technical support staff.
8. Buyer Responsibility. The warranties in this Limited Warranty Agreement are contingent on the following terms and conditions:
9. Buyer must notify Tri-Tech Medical within (30) days after receipt of a Product or Product component that Buyer believes to be defective. With the exception of Buyer who claims a technical issue with the operation of Product or Product component that, all invoices must be paid in full and in accordance with the terms of the Agreement. Failure to pay invoices when due may result in the interruption and/or cancellation of the applicable Warranty.
10. All Warranty service must be completed by Tri-Tech Medical or an authorized representative.
11. Buyer’s purchase the Products directly from Tri-Tech Medical or a Tri-Tech Medical distributor.
12. Buyer’s compliance with the terms of the Agreement, including Tri-Tech Medical’s Return Authorization Process.
13. On-Site Installation. Unless specified in the Sales Order Acknowledgment, Tri-Tech Medical is not responsible for any on-site installation, setup, or disassembly at Buyer’s location.
14. Scope of Warranties. The Warranties extend only to defects in materials or workmanship as stated in this Limited Warranty Agreement and do not extend to any Products which:
15. have been lost or discarded by Buyer;
16. have been damaged as a result of improper transportation, misuse, improper installation, faulty or inadequate maintenance or failure to follow instructions furnished by Tri-Tech Medical;
17. have been subjected to improper or unauthorized repair and/or modification; or
18. have been damaged due to fire, flood, radiation, or other “acts of God” or other contingencies beyond the control of Tri-Tech Medical.
19. Post-Warranty Product Repair or Replacement. After the Warranties have expired, Buyer may contact Tri-Tech Medical or a Tri-Tech Medical representative for repair or replacement information, and Tri-Tech Medical or its authorized representative may, in its sole discretion, elect to provide Buyer with repair or replacement Products, at a price to be determined by Tri-Tech Medical.
20. Damages and Modifications Disqualification. Products that have been repaired, damaged, or modified by someone other than Tri-Tech Medical or an approved representative do not qualify for warranty repair whether within the Warranty or outside of the Warranty and will be returned as received.
21. Limitation on Federal and State Warranties. All warranties implied by state law or non-U.S. laws, including the implied warranties of merchantability and fitness for a particular purpose, are expressly limited to the duration of the limited warranties set forth above. With the exception of any warranties implied by state law or non-U.S. laws, as hereby limited, the foregoing Warranties are exclusive and in lieu of all other warranties, guarantees, agreements, and similar obligations of Tri-Tech Medical with respect to the repair or replacement of any parts. In no event shall Tri-Tech Medical’s liability with respect to any claim under this Limited Warranty Agreement exceed the cost of the repair or replacement of the defective Product or Product component.
22. Warranty Limitation Exceptions. This Warranty Agreement gives Buyer specific legal rights. Buyer may also have other rights that vary from state to state and from country to country. Some states and countries do not allow limitations on how long an implied warranty lasts, when an action may be brought, or the exclusion or limitation of incidental or consequential damages; in such cases, the above provisions may not apply to a particular Buyer. EXCEPT FOR THE ABOVE EXPRESS LIMITED WARRANTIES, TRI-TECH MEDICAL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, IN ANY PROVISION OF THE AGREEMENT, OR IN ANY OTHER DOCUMENTS, OR IN ANY OTHER COMMUNICATION, STATEMENT OR REPRESENTATIONS, WHETHER ORAL OR WRITTEN, MADE BY ANY AGENT, DISTRIBUTOR, REPRESENTATIVE OR EMPLOYEE OF TRI-TECH MEDICAL.
